In order to sign up as an Investor or Borrower, we may need to collect some personal and business-related information about you. We may collect this information for a number of reasons including, but not limited to; providing relevant information and services to you, opening up an account with us, responding to your requests, or matching specific tools to your needs. When signing up, you will need to provide information about yourself, such as your name, email address, phone number and other business-related information. We may also offer you now or in the future the ability to complete transactions on our Site. In order to complete these transactions, we may need to collect additional information from you, such as your billing address and financial account information. By providing your personal and business-related information to us, you understand and agree that you have no right to remove the data from the Site.

IDEMNITY
You will indemnify, defend and hold harmless Site Owner and Perfecto Capital and its officers, directors, employees and agents (each, an "Indemnified Party") from and against any and all claims, demands, losses, costs, expenses, liabilities and damages of any kind or nature whatsoever (collectively, "Damages") incurred by any Indemnified Party arising out of, in connection with or resulting from (i) your use of the Web Sites or (ii) your breach of this Agreement.
GOVERNING LAW
This Agreement shall be construed and governed by the State of Florida, U.S.A. You hereby consent to the exclusive jurisdiction and venue of courts sitting in Florida in all disputes arising out of or relating to the use of the Web Sites. Use of the Web Sites is unauthorized in any jurisdiction that does not give the effect to all provisions of these terms and conditions, including without limitation this paragraph.
